MANILA, PHILIPPINES — One of the Philippines’ most prominent digital banking pioneers is undertaking a major restructuring that has begun affecting employees, even as its parent company reports a sharp increase in profits.
Aboitiz-led Union Bank of the Philippines has confirmed workforce reductions involving its digital banking subsidiary, UnionDigital Bank, and financial technology arm, UBX, as the group prepares to bring both businesses into its main banking operations.
The development was confirmed on October 28, five days after UnionBank announced that its board had approved the proposed integration of the two subsidiaries.
The changes come amid a complicated financial picture.
UnionBank reported ₱9.9 billion in net income for the first nine months of 2026, a 53% increase from the previous year.
Yet UnionDigital has accumulated substantial losses since beginning commercial operations in 2022, with a retained earnings deficit of approximately ₱5.64 billion as of June 2026.
While the parent bank is performing more strongly, its digital subsidiaries are facing an organizational overhaul.
UnionBank has acknowledged that employees are being affected, but it has not disclosed the number of jobs being eliminated.
The bank says it is offering support and alternative employment opportunities.
As UnionBank consolidates its digital businesses, a difficult question emerges: Will the restructuring create a more efficient financial institution—or will the loss of employees and independent digital platforms undermine the innovation that made the group a technology leader?
UNIONBANK ACKNOWLEDGES WORKFORCE REDUCTIONS
UnionBank confirmed that its planned integration of UnionDigital and UBX involves organizational changes, including adjustments to workforce requirements.
The statement was provided to InsiderPH and Radar Business on October 28.
It marks the company’s public acknowledgment of employment impacts arising from the consolidation.
However, UnionBank has not announced a precise layoff count.
It has not provided a detailed breakdown by subsidiary, department, seniority level or employment status.
Nor has it published a complete timetable for the workforce changes.
The available information confirms that positions are affected but does not establish the total scale of the restructuring.
UNVERIFIED CLAIM THAT HALF THE WORKFORCE WAS LAID OFF
The controversy intensified after an online Reddit post alleged that approximately 50% of UnionDigital and UBX employees had been laid off.
Radar Business examined the allegation and sought clarification from UnionBank.
The bank confirmed workforce-related changes but did not substantiate the 50% figure.
That distinction is essential.
Anonymous online claims can draw attention to genuine developments, but their numerical assertions require independent verification.
It would be inaccurate to publish a headline saying half of the subsidiaries’ employees were dismissed without confirmed company records or other reliable evidence.
The actual number of affected workers remains undisclosed.
THE CUTS DO NOT REPRESENT A CONFIRMED PARENT-BANK LAYOFF PROGRAM
UnionBank also clarified that the reported workforce changes concern UnionDigital and UBX.
The company distinguished these subsidiaries from its main banking operations.
This does not mean the parent bank is unaffected operationally by the proposed integration.
The consolidation is intended to bring digital capabilities into UnionBank itself.
However, the statement does not establish a broader employee reduction program across all UnionBank branches and departments.
Earlier rumors about thousands of possible job cuts at the parent bank were separately denied by UnionBank in March 2026.
Those older allegations should not be presented as confirmed developments arising from the October restructuring.
UNIONBANK OFFERS SEPARATION AND EMPLOYMENT SUPPORT
UnionBank says it is assisting employees affected by the changes.
According to Radar Business, the available measures include severance packages and opportunities to apply for other roles.
The bank has also referred to possible opportunities across the wider Aboitiz Group.
UnionBank said some affected employees already have outstanding employment offers.
However, it has not disclosed how many workers received severance benefits, how many obtained alternative positions or whether all affected employees will be absorbed elsewhere.
An offer to explore another role is not the same as a guaranteed new position.
The practical outcome for individual workers will depend on the assistance they receive and the opportunities available.
BOARD APPROVED DIGITAL INTEGRATION ON OCTOBER 23
The workforce changes follow a major corporate decision announced on October 23.
UnionBank’s board approved a plan to integrate the businesses of UnionDigital and UBX into the parent institution.
The bank said the proposed consolidation would sharpen its focus on core businesses and improve operational efficiency.
Rather than maintaining digital banking and fintech capabilities primarily through separate subsidiaries, UnionBank intends to bring more of those functions directly into its established operating structure.
However, the announcement is a plan, not a completed transaction.
The integration remains subject to the necessary approvals from the Bangko Sentral ng Pilipinas and other relevant authorities.
No final completion date has been announced.
CEO ANA DELGADO PUSHES A NEW DIGITAL STRATEGY
UnionBank president and CEO Ana Maria A. Delgado has described the integration as a way to strengthen the lender’s digital capabilities.
The objective is to improve efficiency and expand the delivery of financial services to more customers.
The decision reflects a shift in how UnionBank intends to develop technology.
Previously, separate subsidiaries provided specialized environments for building new digital banking and financial technology products.
Under the proposed structure, more of those capabilities would be incorporated into the parent bank.
The strategy may simplify decision-making and reduce overlapping functions.
But the financial benefits have not yet been quantified.
WHAT IS UNIONDIGITAL BANK?
UnionDigital Bank began commercial operations in 2022.
It was among the Philippines’ original six licensed digital banks approved under the Bangko Sentral ng Pilipinas’ digital banking framework.
Its services include digital deposits and lending through electronic platforms.
Digital banks generally operate with a technology-centered service model that differs from traditional branch-heavy banking.
The model can potentially improve access to financial services and reduce certain distribution costs.
However, digital banks still face ordinary banking risks.
These include credit losses, funding expenses, regulatory requirements, technology spending and customer acquisition costs.
The absence of a large branch network does not guarantee profitability.
WHAT IS UBX?
UBX was established in 2018 as UnionBank’s financial technology subsidiary.
Its activities have involved embedded finance, open finance, digital platforms and technology solutions connecting businesses with financial services.
The subsidiary was intended to develop business models that extended beyond traditional banking operations.
According to UBX’s official October notice, its technologies and operating capabilities have matured to a point where UnionBank believes they can be scaled more efficiently within the parent bank.
This explanation provides an important counterpoint to the idea that the consolidation means all digital innovation is being abandoned.
The group’s stated intention is to continue developing digital services through a different organizational arrangement.
However, the long-term fate of individual UBX products and platforms has not been fully specified.
UNIONBANK REPORTS ₱9.9 BILLION IN NINE-MONTH PROFIT
UnionBank’s October 23 financial disclosure shows that the parent banking group remained profitable.
Net income reached ₱9.9 billion from January through September 2026.
That represented a 53% increase year over year.
Net revenues climbed 8% to ₱65.5 billion.
The performance reflected stronger core banking income, improved interest margins and lower credit costs.
The results challenge any suggestion that the parent bank announced the restructuring because it had reported an overall net loss.
However, consolidated profitability does not mean every subsidiary is performing equally well.
A profitable banking group can still decide to restructure units that face sustained losses or duplication of operating functions.
NET INTEREST INCOME INCREASES TO ₱51.9 BILLION
UnionBank reported net interest income of approximately ₱51.9 billion for the first nine months.
That was 9% higher than the previous year.
Its net interest margin improved to 6.9%.
Interest income is a major source of revenue for lending institutions.
The improvement suggests that UnionBank benefited from the earnings generated by its interest-bearing assets relative to funding costs.
However, a stronger interest margin does not guarantee that every loan is performing well.
Credit quality must still be evaluated separately.
RETAIL CUSTOMER BASE EXCEEDS 19.5 MILLION
UnionBank said its retail banking customer base had grown to more than 19.5 million.
This provides a large potential audience for digital products developed within the group.
The company also reported that consumer loans represented approximately 62% of its total loan portfolio.
These figures help explain why technology integration is strategically important.
A large customer base requires reliable mobile applications, payment services, customer support and credit processes.
But the 19.5-million figure refers to the parent group’s retail customer base.
It should not be interpreted as the number of UnionDigital customers or affected employees.
THE PARENT BANK’S BAD-LOAN INDICATORS IMPROVE
UnionBank reported a gross nonperforming loan ratio of 6.56% for its consolidated operations.
Its net nonperforming loan ratio declined to 2.90%.
The bank also reported an NPL coverage ratio of 75.77%, compared with 69.65% a year earlier.
These figures suggest improvement in certain measures of credit quality.
However, they do not eliminate credit risks.
The bank’s lending portfolio remains exposed to borrowers’ financial conditions and broader economic developments.
And these consolidated figures must not be confused with UnionDigital’s separately reported loan-quality ratios.
UNIONDIGITAL’S RETAINED EARNINGS DEFICIT REACHES ₱5.64 BILLION
The financial condition of UnionDigital provides important context for the proposed restructuring.
According to Bangko Sentral ng Pilipinas financial data cited by InsiderPH, the digital bank had accumulated a retained earnings deficit of approximately ₱5.64 billion by June 2026.
It had built up approximately ₱9.4 billion in capital stock.
A retained earnings deficit reflects accumulated historical losses rather than the loss recorded in a single reporting period.
The figures illustrate the cost of developing and operating a digital banking business that has not yet achieved sustained profitability.
However, a retained earnings deficit does not automatically mean a bank has become insolvent.
Solvency must be assessed using the institution’s actual assets, liabilities, capital position and applicable regulatory requirements.
UNIONDIGITAL’S LOAN PORTFOLIO CONTINUES TO GROW
Despite its accumulated losses, UnionDigital reported a larger loan portfolio.
Its lending book increased to approximately ₱6.7 billion in June 2026 from ₱4.3 billion in March.
The increase demonstrates that the business continued expanding lending activity.
But loan growth also creates additional credit exposure.
A digital bank must manage the balance between acquiring borrowers and maintaining acceptable repayment performance.
The profitability of lending depends on interest income, funding costs, expected losses and operating expenses.
Loan expansion alone does not guarantee that the subsidiary will become profitable.
BAD-LOAN RATIO IMPROVES BUT REMAINS ELEVATED
UnionDigital’s gross nonperforming loan ratio declined from 29.51% in March to 21.39% in June 2026.
The improvement is substantial.
However, a ratio above 20% still indicates that a significant portion of the reported loan portfolio was classified as nonperforming under the applicable measure.
The figure is much higher than the parent banking group’s consolidated gross NPL ratio.
These ratios concern different reporting entities and should not be presented as interchangeable.
The improvement may indicate progress in credit management, but the remaining level of problem loans continues to warrant close attention.
UNIONBANK APPROVED ADDITIONAL CAPITAL SUPPORT
UnionBank previously approved a ₱1.3-billion capital infusion into UnionDigital.
According to the reported financial records, ₱400 million was released in January 2026 and another ₱100 million in July.
The capital support reflects the resources required to sustain the digital bank’s development.
However, the ₱1.3-billion approved amount should not be confused with money already fully released.
The reported January and July releases total ₱500 million.
The public reporting does not establish that the entire remaining balance had been disbursed by October 29.
Capital support and eventual restructuring costs must also be evaluated separately.
REPORTED SALE DISCUSSIONS REMAIN UNCONFIRMED
InsiderPH cited an unnamed industry source who said UnionBank had previously explored a possible sale of UnionDigital.
The source mentioned interest from potential buyers, including GCash operator Mynt.
However, no completed sale was announced.
The reported exploratory discussions have not been independently established through a formal transaction disclosure in the sources reviewed.
It would therefore be inaccurate to describe Mynt as having acquired UnionDigital or to present a sale as an approved transaction.
The confirmed corporate action is the proposed integration of UnionDigital and UBX into UnionBank.
WILL UNIONDIGITAL ACCOUNTS REMAIN ACTIVE?
For depositors and borrowers, the immediate concern is continuity of service.
UnionBank has said that UnionDigital’s existing accounts, deposits, loans, mobile application and other services will remain available during the transition.
The bank also committed to informing customers about future changes before they take effect.
No final migration date has been announced.
Customers should therefore continue using official banking channels and monitor formal notices.
There is no verified instruction requiring all UnionDigital customers to withdraw funds, close accounts or move money immediately.
Any such message should be checked carefully for authenticity.
BSP APPROVAL REMAINS A KEY REQUIREMENT
UnionDigital is a regulated banking institution.
The proposed integration involves financial services subject to government supervision.
UnionBank’s October 23 disclosure explicitly states that completion remains subject to approval by the BSP and other relevant regulators.
This means the corporate plan cannot be treated as finalized merely because the board has approved it.
The regulators may assess the transaction and its implications for banking operations.
The bank has not announced a confirmed approval date.
The final legal and operational structure remains to be disclosed.
WHAT WILL HAPPEN TO UBX’S FINTECH PLATFORMS?
UBX’s public notice explains that the group intends to bring its technology and embedded finance capabilities closer to UnionBank’s core operations.
The statement suggests continuity of the underlying innovation strategy.
However, the detailed future of individual products, partnerships and systems has not been announced.
Some technologies may be integrated directly into UnionBank platforms.
Others may require operational changes.
Those possibilities should not be reported as completed decisions unless specifically confirmed.
Business clients and partners should monitor official UBX and UnionBank communications for service-specific information.
THE FINANCIAL IMPACT OF THE RESTRUCTURING IS STILL UNKNOWN
Corporate consolidation can potentially reduce overlapping expenses.
But integration may also involve costs.
These could include employee separation payments, technology migration, system adjustments and legal or administrative requirements.
UnionBank has not disclosed a verified total for restructuring expenses.
It has also not released a quantified forecast of expected savings.
Therefore, the proposed integration should not yet be described as delivering a particular peso amount in cost reductions.
Its financial benefits will need to be assessed after implementation.
WHAT ABOUT THE RIGHTS OF AFFECTED EMPLOYEES?
Employment changes arising from restructuring must comply with applicable Philippine labor law.
Depending on the actual circumstances, workforce reductions may involve redundancy, retrenchment or other lawful employment arrangements.
Different legal grounds carry different requirements.
Where applicable, affected employees may have rights involving notice, separation benefits and due process.
However, UnionBank has not disclosed the exact legal classification of every employment separation.
It would be inappropriate to assume that all cases fall under one category.
Employees should review their individual documents and consult qualified labor professionals or the Department of Labor and Employment when necessary.
WHY THIS MATTERS TO THE PHILIPPINE FINTECH INDUSTRY
UnionBank has been widely associated with digital banking innovation.
UnionDigital and UBX were created to develop technologies and products beyond conventional branch-based banking.
Their proposed consolidation demonstrates that digital transformation can take different organizational forms.
Early-stage subsidiaries may help companies experiment with new services.
Later, a parent institution may decide that the technologies can be delivered more efficiently within its established operations.
But such transitions can affect employees, customers and business partners.
The challenge is preserving useful innovations while addressing the costs and risks that emerged during development.
WHAT OTHER NEWS OUTLETS CONFIRM
InsiderPH published its workforce restructuring report on October 28 and obtained UnionBank’s acknowledgment of staffing changes.
Radar Business separately received confirmation that the workforce developments concerned UnionDigital and UBX, not the main banking operation.
Fintech News Philippines also covered the confirmed workforce adjustments and examined the unverified social media claims.
The Philippine Star independently reported the October 23 corporate integration decision.
MARKETECH APAC described UnionBank’s strategy and its customer service commitments.
UnionBank’s Philippine Stock Exchange disclosure provides primary verification of the board approval, regulatory conditions and nine-month financial results.
The BSP’s published financial statistics establish UnionDigital’s reported loan-quality indicators.
UBX’s official notice explains why its fintech capabilities are being moved closer to the parent bank.
Together, these sources confirm that organizational changes are taking place amid a proposed consolidation.
However, the exact number of job cuts remains unverified.
THE BIGGER QUESTION: IS UNIONBANK REINVENTING DIGITAL BANKING?
UnionBank’s decision represents an important change in its digital banking strategy.
The group is moving away from maintaining UnionDigital and UBX as distinct centers of development and toward incorporating their capabilities into its core banking business.
That shift comes as the parent bank reports sharply higher profits and a rapidly expanding retail customer base.
But it also follows persistent financial pressure at UnionDigital.
For employees, the immediate concern is the loss of positions and the quality of transition support.
For customers, the priority is maintaining access to accounts, loans, applications and financial services.
For investors, the central question is whether consolidation can improve profitability without undermining the technology capabilities that helped distinguish the bank.
The true test will be whether UnionBank can complete the integration responsibly, protect customers and employees, and deliver measurable operational improvements.
And as the Aboitiz-led lender prepares to restructure its digital businesses, one question remains:
Will absorbing UnionDigital and UBX create a stronger, more profitable UnionBank—or will the undisclosed job cuts and mounting digital banking losses reveal the hidden costs of its ambitious fintech transformation?
