ABS-CBN Wins 7th Golden Arrow Award Amid ₱6-Billion Comeback Plan — But Can the Kapamilya Network Finally Return to Profit?

MANILA, PHILIPPINES — ABS-CBN Corporation has secured its seventh Golden Arrow Award for corporate governance, marking another milestone for the Lopez-led media company as it attempts to rebuild its business six years after losing its congressional broadcasting franchise.

The recognition, announced on October 26, comes at a critical moment for one of the Philippines’ most recognizable media organizations.

ABS-CBN is pursuing a ₱6-billion capital-raising program, restructuring its operations, reducing debt and expanding partnerships to deliver entertainment and news across television, streaming platforms, digital media, films and other distribution channels.

But the company’s transformation is far from complete.

Despite progress in reducing costs and financial obligations, ABS-CBN reported a ₱1.83-billion consolidated net loss during the first half of 2026.

It has also announced workforce reductions as weak advertising demand and broader economic pressures continue to affect the media industry.

The Golden Arrow Award therefore tells an important, but limited, part of the story.

ABS-CBN has earned another recognition for its corporate governance practices, but the bigger challenge is whether better governance, new investment and a leaner business model can finally produce sustainable profitability.

ABS-CBN SECURES SEVENTH GOLDEN ARROW AWARD

According to an October 26 report by InsiderPH, ABS-CBN received its seventh Golden Arrow Award from the Institute of Corporate Directors (ICD).

The recognition was based on the company’s performance in the 2025 ASEAN Corporate Governance Scorecard and Corporate Governance Scorecard assessments.

The award is given to companies that achieve at least 75 points under the relevant assessment and demonstrate compliance with established Philippine corporate governance standards and internationally recommended practices.

The evaluation examines how companies protect shareholder rights, treat investors fairly, disclose important information and maintain accountability at the board and management levels.

It also considers sustainability, resilience and stakeholder relationships.

For ABS-CBN, the award provides recognition of its governance practices during a period of significant corporate restructuring.

However, it is not a certification that the company’s recovery has already succeeded financially.

WHAT THE GOLDEN ARROW AWARD ACTUALLY MEASURES

The ASEAN Corporate Governance Scorecard evaluates several areas considered important to responsible corporate management.

These include shareholder rights, equitable treatment of shareholders, sustainability and resilience, stakeholder relations, transparency, and the responsibilities of the board.

The assessment also emphasizes the timely disclosure of important information.

For publicly listed companies, transparency is particularly important because investors rely on financial statements, corporate announcements and regulatory disclosures when making decisions.

The Institute of Corporate Directors promotes higher governance standards among Philippine publicly listed companies and other participating organizations.

Its broader objective is to strengthen investor confidence and encourage companies to adopt internationally recognized practices.

But a governance award should not be confused with an audit opinion on every company transaction or a guarantee of future financial performance.

A company can demonstrate strong governance practices while still facing financial losses, weak market conditions or difficult business decisions.

ABS-CBN EXECUTIVES RECEIVE THE RECOGNITION

ABS-CBN Chief Risk Management Officer, Chief Compliance Officer and Shared Service Center head Mike Villanueva accepted the award on the company’s behalf.

He was joined by members of the Treasury and Investor Relations team, including Cindy Estojero, Melanie Teodoro and Marvin Payumo.

The recognition follows ABS-CBN’s sixth Golden Arrow Award in 2025, which was based on the preceding assessment period.

The latest award extends the company’s record of governance recognition.

For a media company navigating financial restructuring, governance systems are particularly important.

Decisions involving capital raising, borrowing, asset disposals, partnerships and cost reductions can have significant consequences for employees and shareholders.

Strong oversight and reliable disclosure processes can help ensure that those decisions receive appropriate scrutiny.

THE BIGGER STORY BEGINS WITH THE 2020 FRANCHISE LOSS

ABS-CBN’s financial challenges are closely connected to the shutdown of its free-to-air broadcasting operations in 2020.

After Congress rejected the company’s application for a new broadcast franchise, ABS-CBN was forced to rethink a business model built around operating its own national television network.

The shutdown disrupted advertising revenue, programming distribution and employment.

It also accelerated the company’s shift toward producing and distributing content through partners and online platforms.

Rather than relying primarily on its own free-to-air broadcasting frequencies, ABS-CBN increasingly focused on creating entertainment, news, films and other intellectual property that could reach audiences through multiple channels.

The transformation has required major operational changes.

The company reduced expenses, sold selected assets and entered new partnerships.

But adapting an established national broadcaster to a different commercial model has proved financially demanding.

ABS-CBN CUTS CORPORATE DEBT BY APPROXIMATELY 58%

One of the company’s most significant restructuring achievements involves debt reduction.

At its August 2026 annual stockholders’ meeting, ABS-CBN President and CEO Carlo Katigbak explained that the company had reduced outstanding corporate debt, excluding Sky Cable, from approximately ₱20.5 billion in 2019 to less than ₱8.5 billion in 2025.

That represents a reduction of roughly 58%.

Debt reduction can improve financial flexibility by lowering future repayment obligations and potentially reducing interest costs.

For a company rebuilding after a major revenue disruption, a smaller debt burden may provide room to invest in new business opportunities.

However, reduced debt does not automatically mean the company has returned to financial health.

Profitability, liquidity, cash generation and the ability to meet remaining obligations must also be assessed.

The reported debt figures exclude Sky Cable and should not be mistaken for the group’s entire consolidated liabilities.

COST REDUCTIONS REACH 54%

ABS-CBN also significantly reduced its cost base.

According to BusinessMirror and Context.ph, general administrative and manpower costs, excluding Sky, declined from approximately ₱15 billion in 2019 to ₱6.9 billion in 2025.

That represents a reduction of approximately 54%.

These adjustments were part of efforts to make the company’s operating structure more sustainable without its former broadcasting business.

A lower cost base means ABS-CBN may require less revenue to cover routine operations than it did before the shutdown.

However, cost reduction can also involve difficult decisions about staffing, business activities and investment.

The company must maintain enough creative, technical and commercial capability to continue producing competitive content.

For a media business, cutting spending too aggressively can also affect future programming and revenue opportunities.

The challenge is balancing financial discipline with the need to invest in productions, talent and distribution.

2025 LOSSES NARROW, BUT PROFITABILITY REMAINS OUT OF REACH

ABS-CBN’s 2025 results showed progress in reducing certain financial losses.

Context.ph reported that consolidated revenue stood at approximately ₱15.8 billion, down 9% from ₱17.3 billion in 2024.

The decline was influenced partly by weakness in the cable television and broadband businesses.

Consolidated net losses nevertheless narrowed to approximately ₱4.7 billion from ₱6.1 billion a year earlier.

Meanwhile, the company’s recurring net loss, excluding Sky and before certain one-time gains or losses, declined to approximately ₱2.5 billion in 2025 from ₱8.3 billion in 2020.

The improvement suggests that restructuring has reduced the severity of the company’s recurring losses.

However, ABS-CBN remained unprofitable on a consolidated net income basis.

For shareholders, the distinction matters.

Narrowing losses can represent progress, but a sustainable turnaround requires the company to eventually generate enough revenue and earnings to cover its costs and financial obligations.

FIRST-HALF 2026 RESULTS SHOW RECOVERY IS STILL FRAGILE

The financial picture became more challenging during the first six months of 2026.

ABS-CBN reported consolidated revenue of ₱6.88 billion, down 17% from approximately ₱8.28 billion during the same period in 2025.

Its consolidated net loss widened to ₱1.83 billion from approximately ₱852 million.

Operating costs and expenses declined, but the reduction was not enough to offset weaker revenue and other financial pressures.

The results highlight the continuing vulnerability of the company’s recovery to economic conditions and advertising demand.

Entertainment and media businesses depend partly on consumer spending, advertising budgets and the commercial performance of individual productions.

Even with lower overhead expenses, a significant decline in revenue can put pressure on profitability.

The results also demonstrate why the latest Golden Arrow Award should not be portrayed as proof that ABS-CBN has already completed its financial comeback.

₱6-BILLION INVESTMENT PLAN COULD STRENGTHEN THE BALANCE SHEET

A major development occurred in August when ABS-CBN announced plans to raise ₱6 billion in new equity.

The funding arrangement involves several companies representing branches of the Lopez family, alongside new outside investor I&C Holdings Corporation.

Under the announced commitments, I&C Holdings will subscribe to approximately ₱3.5 billion in new shares.

Three Lopez family-linked investment companies—Crème Investment Corporation, Mantes Corporation and Presta Holding Company—will contribute an aggregate ₱2.2 billion.

Lopez Inc. will subscribe to another ₱300 million.

The proceeds are intended to strengthen the balance sheet and support working capital and other corporate requirements.

Philippine Stock Exchange disclosures also identify settlement of past-due liabilities and reduction of bank debt among the proposed uses.

However, an announced equity subscription is not automatically equivalent to the full amount of cash already received and available for spending.

The transaction remains subject to applicable corporate, regulatory and implementation requirements.

SHAREHOLDERS APPROVE CAPITAL PLAN IN SEPTEMBER

ABS-CBN shareholders approved important steps for the ₱6-billion investment program on September 30, 2026.

The proposals included an increase in the company’s authorized capital stock and changes to the board’s structure.

The company also sought to expand its board from seven to nine members, allowing space for representatives of incoming investors.

Context.ph reported that shareholders representing approximately 83% of outstanding voting shares supported the proposals.

ABS-CBN said the Lopez family would retain strategic control as new investors entered the company.

This is significant because the capital infusion may reshape the company’s shareholding structure while preserving the influence of its longtime controlling shareholders.

However, final ownership arrangements depend on the implementation of the approved transactions and the relevant share issuances.

NEW INVESTOR I&C HOLDINGS PLACES A MAJOR BET ON ABS-CBN

The proposed ₱3.5-billion investment from I&C Holdings represents one of the largest outside commitments in ABS-CBN’s restructuring efforts.

The investment firm has described the media company as possessing valuable brands, intellectual property and established relationships with Filipino audiences.

Those assets are central to ABS-CBN’s strategy.

The company has decades of experience creating entertainment and news content.

Its library, production capabilities and talent relationships could provide opportunities across several platforms.

For investors, the commercial question is whether ABS-CBN can convert those strengths into sufficient revenue and profitability.

The investment suggests confidence in its long-term prospects, but it does not guarantee that the turnaround will succeed.

New shares may also dilute existing shareholders’ percentage ownership.

ABS-CBN CONTINUES ITS SHIFT TOWARD A CONTENT-LED BUSINESS

ABS-CBN’s future strategy is increasingly based on producing content rather than exclusively operating its own broadcasting infrastructure.

The company distributes shows, movies, news, music and entertainment through partnerships involving television networks, streaming services, digital platforms, cinema and international channels.

This approach allows the company to reach audiences through multiple distribution arrangements.

It also reduces dependence on the broadcasting infrastructure that supported its former operating model.

However, content production remains competitive and expensive.

Audience preferences change rapidly, and individual programs may perform differently across platforms.

The company must also negotiate commercially sustainable distribution deals.

A successful content strategy requires both creative relevance and financial discipline.

DIGITAL AUDIENCES PROVIDE AN IMPORTANT GROWTH OPPORTUNITY

ABS-CBN continues to maintain a substantial digital audience.

In January 2026, the company reported that its ABS-CBN Entertainment YouTube channel had reached approximately 54.5 million subscribers in 2025, placing it among the largest media channels in Southeast Asia under the cited rankings.

Such digital reach demonstrates the continued recognition of ABS-CBN’s content among online audiences.

However, a high subscriber count is not equivalent to an equal number of paying customers.

Digital monetization depends on advertising demand, content views, licensing arrangements, platform revenue-sharing policies and audience engagement.

For ABS-CBN, the challenge is translating online popularity into consistent earnings.

WORKFORCE REDUCTIONS SHOW THE HUMAN COST OF RESTRUCTURING

The company’s cost-management strategy has also affected employees.

In September 2026, ABS-CBN announced a retrenchment program involving approximately 200 workers, equivalent to around 7% of its workforce.

GMA News reported that the company cited a difficult operating environment involving weaker advertising and consumer spending.

The announcement followed earlier staffing reductions associated with the 2020 shutdown and subsequent restructuring.

The latest retrenchment underscores the human consequences of the financial recovery process.

Even when cost reductions help a company survive, they can affect livelihoods, workplace morale and employees’ long-term security.

For ABS-CBN, rebuilding investor confidence must also involve maintaining the capabilities needed to produce news and entertainment.

WHY CORPORATE GOVERNANCE MATTERS DURING A FINANCIAL TURNAROUND

Strong corporate governance can be especially important when a company is restructuring.

Financially pressured businesses often face difficult decisions involving creditors, shareholders, employees and prospective investors.

These decisions must be evaluated carefully because different stakeholders may have competing interests.

Board oversight can help ensure that management considers risks and complies with applicable rules.

Transparent disclosures can help investors assess the company’s financial position.

Fair treatment of shareholders is particularly important when new equity investments may change ownership percentages.

Effective governance does not eliminate financial risk, but it can improve the quality and accountability of corporate decision-making.

The Golden Arrow Award recognizes ABS-CBN’s performance against governance standards in this context.

However, investors should still evaluate the company’s underlying financial statements and business outlook.

INDEPENDENT REPORTING CONFIRMS BOTH PROGRESS AND RISKS

InsiderPH’s October 26 report focused on ABS-CBN’s seventh Golden Arrow Award and the assessment criteria behind the recognition.

ABS-CBN’s own announcement confirmed the award, the participation of company executives and the governance standards assessed.

BusinessMirror separately reported the company’s debt reduction, lower expenses and ongoing efforts to return to profit.

Context.ph analyzed the progress of ABS-CBN’s restructuring and the shareholder approval of its ₱6-billion equity plan.

GMA News confirmed the company’s September workforce reduction announcement.

Taken together, these sources offer a more balanced picture.

ABS-CBN has made progress in financial restructuring and received fresh recognition for governance.

But the company continues to face substantial losses, uncertain advertising conditions and the challenge of executing its new business strategy.

WHAT THE COMEBACK MEANS FOR PHILIPPINE MEDIA

ABS-CBN’s transformation reflects broader changes across the media industry.

Audiences increasingly consume information and entertainment through online services, streaming platforms and mobile devices.

Traditional broadcasters must compete with technology companies, content creators and global entertainment platforms.

Advertising revenue has also become more fragmented as companies distribute marketing budgets across different channels.

For Philippine media businesses, maintaining audience loyalty is only part of the challenge.

They must also develop sustainable revenue models.

ABS-CBN’s experience illustrates how a major media brand can attempt to rebuild around content production and partnerships after losing access to a major distribution channel.

The eventual outcome could provide lessons for other media companies facing rapid technological and commercial change.

THE BIGGER QUESTION: CAN ABS-CBN TURN GOVERNANCE INTO FINANCIAL RECOVERY?

ABS-CBN’s seventh Golden Arrow Award is another milestone for a company navigating one of the most difficult periods in its history.

The recognition highlights its performance in corporate governance assessments.

Meanwhile, management has reduced corporate debt, lowered overhead expenses and attracted commitments for new equity investment.

The company’s content-led strategy also provides opportunities to reach audiences across traditional and digital platforms.

But challenges remain substantial.

Consolidated losses widened during the first half of 2026.

The media industry continues facing pressure from advertising weakness and changing consumer behavior.

And restructuring has required further workforce reductions.

The Golden Arrow Award may strengthen confidence in ABS-CBN’s governance practices, but the decisive measure of its comeback will be whether the company can deliver sustainable profits while preserving the strength of its media business.

As new investors prepare to support ABS-CBN’s next phase, one question remains:

Will better corporate discipline, a ₱6-billion capital infusion and a renewed content strategy finally return the Kapamilya network to profitability — or will weak advertising demand and continued losses delay its comeback once again?
